U.S. Banks Income & Growth Fund Announces Final Terms of Public Offering

Purpose Investments Inc. (“Purpose”), on behalf of the U.S. Banks Income & Growth Fund (the “Fund”), announces the filing by the Fund of a shelf prospectus supplement in final form with the securities regulators in all of the provinces and territories of Canada relating to a public offering of Class A2 Units and Class T Units (together, the “Units”). The Class T Units are being offered at a price of $9.69 per Unit, and the maximum aggregate amount to be raised is $15,000,000. Closing is expected to occur on or about June 8, 2016. As the closing will occur after the distribution payable to holders of record of Class T Units on May 31, 2016, purchasers of Class T Units under the offering will not be eligible to receive such distribution.

The offering is being made on a best efforts agency basis in each of the provinces and territories of Canada through a syndicate of agents led by National Bank Financial Inc. and which includes BMO Capital Markets, CIBC, Scotiabank, GMP Securities L.P., Canaccord Genuity Corp., Desjardins Securities Inc., Industrial Alliance Securities Inc., Raymond James Ltd., Mackie Research Capital Corporation and Manulife Securities Incorporated.
